General Terms and Conditions for Photography, Film, and Content Production

Part 1 – Basics
1. Scope of Application
These General Terms and Conditions apply to all services provided by Marc Fippel in the fields of photography, videography, film production, content production, and media production. These include, in particular, corporate photography, business photography, advertising photography, employee portraits, personal branding, event coverage, photo essays, video productions, social media content, Reels, interviews, fine art prints, image and video editing, retouching, and online galleries. They apply to private individuals, companies, agencies, and public clients.
2. Offer and Conclusion of Contract
Offers are subject to change. A contract is concluded upon written acceptance of the offer or a written booking confirmation. Upon conclusion of the contract, the client accepts these Terms and Conditions.
3. Scope of Services
The scope of services is determined exclusively by the proposal or a written agreement. Any additions or changes will be agreed upon separately and may be subject to additional compensation.
4. Creative Design
Visual language, lighting, perspective, color scheme, retouching, film editing, and style are executed in accordance with Marc Fippel’s creative signature style, unless otherwise agreed in writing.
5. Obligations to Cooperate
The client shall provide all necessary information, contact persons, permits, and approvals in a timely manner. Delays shall result in a reasonable extension of delivery deadlines. Any resulting additional expenses may be billed.
6. Use of External Service Providers
Marc Fippel may engage qualified freelancers and external service providers for retouching, image and video editing, layout, data backup, transcriptions, and organizational services. Overall responsibility remains with Marc Fippel.
Part 2 – Production, Schedules, and Implementation
7. Appointment Reservation
Once the booking is confirmed, the agreed-upon appointment is reserved exclusively for you. Other requests for this time slot may be declined.
8. Changes to Reservations
Changes to reservations are generally possible but require written consent. Unless otherwise agreed, a flat-rate change fee of up to 15% of the agreed order value may be charged to cover the additional administrative costs.
9. Cancellations and Cancellation Fees
In the event of a cancellation, the cancellation fees agreed upon in the quote or contract shall apply. Any third-party costs already incurred—in particular for travel, studios, assistants, makeup artists, technical equipment, or venues—must be reimbursed in full.
10. Force Majeure
If a production cannot take place due to illness, accidents, government orders, extreme weather conditions, or other unforeseeable events, both parties shall endeavor to arrange an alternative date. Further claims for damages are excluded to the extent permitted by law.
11. Productions in Germany and Abroad
Productions may be carried out in Germany and abroad. Travel time, lodging, permits, parking fees, tolls, flights, and other project-related incidental expenses will be billed in accordance with the agreement or based on actual costs.
12. Permits
Unless otherwise agreed, the Client must obtain any necessary filming or photography permits, as well as third-party consents, in a timely manner.
13. Drone Footage
Drone footage is captured exclusively in accordance with applicable legal provisions. If a planned drone operation cannot be carried out for legal or safety-related reasons, this does not constitute a defect in the agreed-upon service.
14. Production Process
The specific production process will be agreed upon jointly. Changes made during the production day may affect the schedule, scope of work, and compensation, and will be agreed upon separately or billed on a time-and-materials basis.
Part 3 – Compensation, Payment Terms, and Rights of Use
15. Compensation
Only the prices agreed upon in the respective offer or contract shall apply. Unless otherwise indicated, all prices are exclusive of applicable sales tax. Additional services that are not part of the original offer will be billed based on actual time and materials or in accordance with the current price list.
16. Terms of Payment
Invoices are due for payment within 14 calendar days without any deductions, unless otherwise agreed. For larger productions, a reasonable down payment may be required. All rights of use remain with the Contractor until full payment has been made.
17. Rights of Use
The Client shall receive only the rights of use agreed upon in the offer. Unless otherwise agreed, this constitutes a simple, non-exclusive, and non-transferable right of use. Any use beyond the agreed scope requires written consent.
18. Disclosure to Third Parties
The disclosure of image or video data to agencies, the press, partner companies, franchisees, or other third parties is permitted only if this has been expressly agreed upon or if the appropriate rights of use have been acquired for this purpose.
19. Buyout
If a buyout is agreed upon, its scope is determined exclusively by the written agreement. A buyout covers only the expressly defined rights of use and does not constitute a transfer of copyright.
20. Copyright
Copyright remains exclusively with Marc Fippel, regardless of the scope of the rights of use granted. Attribution is welcome, provided it is customary in the industry and technically feasible.
21. Self-Promotion
Unless otherwise agreed in writing or as provided for in a confidentiality agreement, Marc Fippel may use the work produced for his portfolio, website, social media, competitions, presentations, and self-promotion, subject to prior consultation with the client.
22. International Use
Usage rights apply exclusively to the extent specified in the contract. International campaigns, group-wide uses, or global advertising campaigns require a separate agreement.
Part 4 – Artificial Intelligence, Post-Production, and Digital Workflows
23. Use of Artificial Intelligence
Modern software-based methods, including applications based on artificial intelligence, may be used to support the delivery of services. This includes, in particular, image selection, technical optimizations, color corrections, retouching, cropping, video editing, transcriptions, subtitles, and organizational processes. Overall creative responsibility, quality control, and final approval of all results remain exclusively with Marc Fippel.
24. External Post-Production
To fulfill the contract, external retouchers, editors, designers, translators, and other specialized service providers may be engaged. These individuals are carefully selected and, where necessary, contractually bound to comply with data protection regulations.
25. Cloud Systems and Digital Workflows
Cloud systems and digital project management platforms can be used for data exchange, project management, data backup, and collaboration. Their use must comply with the applicable data protection regulations.
26. Data Backup
Appropriate data backup measures will be taken during the project period. There is no obligation to archive data permanently beyond the agreed-upon period.
27. Protection of Visual Style
The delivered image and video design reflects Marc Fippel’s personal creative style. Any changes that significantly alter the character of the footage require prior written consent.
28. Prohibition on the Use of AI by the Client
In particular, the delivered image and video data may not be used without prior written consent for training artificial intelligence, building datasets, or creating AI-generated derivatives, deepfakes, or similar automated content.
29. Post-processing
Post-processing of the delivered files using automatic filters, beauty enhancements, generative AI systems, or similar technologies is permitted only to the extent that it does not significantly alter the character of the images or has been previously approved in writing.
30. Digital Processes
To optimize administrative workflows, digital systems and AI-powered applications can be used for scheduling, preparing quotes, project management, communication, and invoicing. This does not involve automated decision-making as defined by the GDPR.
Part 5 – Content Production, Film, and Digital Media
31. Content Production
In addition to traditional photography, the scope of services may also include film productions, Reels, interviews, social media content, promotional videos, audio recordings, short videos, podcasts, drone footage, and other digital media formats. Only the written description of services in the proposal shall be binding.
32. Film Productions
Storyboarding, production scheduling, editing, color correction, sound mixing, subtitling, and final delivery will be carried out in accordance with the agreed-upon scope of services. Creative decisions regarding editing, dramaturgy, and design are the responsibility of Marc Fippel, unless otherwise agreed.
33. Approvals
The Client agrees to provide approval of images and videos, as well as any requested corrections, within a reasonable period of time. Delayed approvals may result in corresponding delays to delivery dates.
34. Revision Iterations
Unless otherwise agreed, the quote includes up to three revision iterations. Any additional requests for changes will be billed based on the time required.
35. Delivery Times
Delivery times generally do not begin until production is complete and all necessary information, approvals, and, if applicable, agreed-upon down payments have been received. Unforeseeable events may reasonably extend delivery dates.
36. Raw Data
RAW files, unedited video footage, project files, and other production data remain the property of Marc Fippel and will be released only upon express written agreement.
37. Online Galleries
Online galleries are intended solely for the presentation and selection of the content produced. They are generally available for six months. After that, there is no entitlement to continued access.
38. Archiving
Project files are archived for at least twelve months. After this period has expired, the files may be deleted. Archiving beyond this period requires a separate agreement.
Part 6 – Data Protection, Liability, and Final Provisions
39. Data Protection
Personal data is processed exclusively in accordance with applicable data protection laws, in particular the GDPR. To the extent necessary for the performance of a contract, personal data may be transferred to carefully selected third-party service providers or technical platforms. Where required by law, appropriate data processing agreements will be entered into.
40. Digital Communication
The Client agrees that project-related communication, scheduling, approvals, and change requests may also be conducted via email, video conference, or messaging services. These communication channels are considered acceptable forms of project management.
41. Confidentiality
Marc Fippel and any service providers engaged hereby agree to use confidential information and project data solely for the purpose of fulfilling this contract and to treat such information as confidential with respect to third parties, unless there is a legal obligation to disclose it.
42. Liability
Marc Fippel is liable for damages only in cases of willful misconduct or gross negligence, to the extent permitted by law. No liability is assumed for data loss, delays resulting from force majeure, technical system failures, or events beyond his control. The client is advised to back up the delivered data immediately.
43. Changes to the Terms and Conditions
Marc Fippel is entitled to amend these Terms and Conditions for future contractual relationships to the extent that changes in the law or further development of the services offered make this necessary.
44. Final Provisions
The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods. To the extent permitted by law, the place of jurisdiction shall be the registered office of Marc Fippel.
45. Severability Clause
Should any provision of these General Terms and Conditions be or become invalid or unenforceable, in whole or in part, the validity of the remaining provisions shall remain unaffected. The contracting parties agree to replace the invalid provision with a provision that most closely approximates its economic purpose.
